Teeterme Law Directory Affiliate Program Terms & Conditions
1. Introduction
Welcome to the Teeterme Law Directory Affiliate Program. By participating in our affiliate program, you agree to the following terms and conditions (the “Agreement”). Please read these terms carefully. If you do not agree with these terms, you should not participate in the affiliate program.
2. Definitions
“Company” refers to Teeterme Law Directory.
“Affiliate” refers to the individual or entity participating in the Teeterme Law Directory Affiliate Program.
“Lawyer” refers to any individual or entity engaged in legal practice that signs up for a paid listing on the Teeterme Law Directory through the affiliate’s referral.
“Paid Listing” refers to the subscription service provided by Teeterme Law Directory, for which a fee is charged.
3. Enrollment in the Affiliate Program
3.1 Application: To enroll in the affiliate program, you must complete the online application form accurately and submit it to the Company for approval. The Company reserves the right to accept or reject any application at its sole discretion.
3.2 Approval: Upon approval, you will receive a unique referral link to track the lawyers who sign up through your promotional efforts.
4. Affiliate Responsibilities
4.1 Promotion: Affiliates may promote the Teeterme Law Directory using ethical marketing practices. Affiliates must comply with all applicable laws and regulations in promoting the Company.
4.2 Referral Links: Affiliates must use the unique referral links provided by the Company to track referrals accurately. The use of any other methods to alter or modify referral links is strictly prohibited.
4.3 Content: Affiliates must not create misleading or false advertisements about the Company. All promotional materials should be truthful and in compliance with the Company’s guidelines.
5. Compensation
5.1 Commission: Affiliates will earn a commission of $400 for each Lawyer who signs up for a paid listing on the Teeterme Law Directory using the Affiliate’s unique referral link.
5.2 Payment Schedule: Commissions are paid out monthly, 30 days after the end of the calendar month in which the Lawyer signs up, provided the total commissions due exceed $50. Payments are made via [insert payment method(s)].
5.3 Refunds and Chargebacks: If a Lawyer’s paid listing is refunded or charged back, the corresponding commission will be deducted from the Affiliate’s future earnings.
6. Affiliate Obligations
6.1 Compliance: Affiliates must comply with all terms set forth in this Agreement and all applicable laws and regulations.
6.2 Confidentiality: Affiliates must not disclose any confidential information about the Company, including business practices and strategies, without prior written consent.
6.3 Termination: The Company reserves the right to terminate any affiliate’s participation in the program for breach of this Agreement, misuse of the referral link, or any other reason deemed appropriate by the Company.
7. Intellectual Property
7.1 Trademarks and Logos: Affiliates are granted a non-exclusive, revocable license to use the Company’s trademarks and logos solely for the purpose of promoting the Teeterme Law Directory. Affiliates must comply with the Company’s trademark usage guidelines.
7.2 Restrictions: Affiliates may not modify the Company’s trademarks, logos, or other intellectual property in any way.
8. Limitation of Liability
The Company will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the affiliate program, even if the Company has been advised of the possibility of such damages.
9. Indemnification
Affiliates agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to the affiliate’s participation in the program, breach of this Agreement, or violation of any law or regulation.
10. Term and Termination
10.1 Term: This Agreement will begin upon the Company’s acceptance of the Affiliate’s application and will continue until terminated by either party.
10.2 Termination: Either party may terminate this Agreement at any time, with or without cause, by providing the other party with written notice of termination.
10.3 Effect of Termination: Upon termination of this Agreement, the Affiliate will cease all promotional activities related to the Teeterme Law Directory and will no longer be eligible to earn commissions.
11. Amendments
The Company reserves the right to amend this Agreement at any time by posting the amended terms on the Teeterme Law Directory website. The Affiliate’s continued participation in the program after such posting constitutes acceptance of the amended terms.
12. Governing Law
This Agreement will be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles.
13. Miscellaneous
13.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the affiliate program and supersedes all prior agreements and understandings, whether written or oral.
13.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.3 Waiver: The failure of either party to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision.
